1. The Service and its provider

Chopda is provided by Ellvero Technologies Private Limited, Ahmedabad, Gujarat, India ("Ellvero", "Chopda", "we", "our", or "us"). "Service" means the Chopda mobile application, chopda.app, Chopda APIs, Windows Tally Connector, AI features, subscriptions, support, and related services.

Chopda provides read-only access to authorised Tally information, mobile synchronisation, reports, device and connector management, and an AI-assisted interface for Tally, accounting, and Indian business-finance questions. Chopda is not accounting software and does not create, alter, or delete entries in your Tally company.

2. Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding agreement. If you connect a business's Tally data, you represent that you are the owner or have valid permission from the owner to install the connector, create the connection, retrieve the data, and permit authorised users to access it.

3. Accounts and security

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your password, OTPs, pairing codes, devices, and any activity performed through your account. Do not share a one-time code or pairing code with anyone who is not authorised to act for your business.

Each successful mobile login is linked to an app installation and may occupy a phone slot under your plan. Each active Windows connector may occupy a connector slot until it is revoked, even if that computer is offline or the connector is uninstalled. You are responsible for reviewing and revoking devices you no longer control. Tell us promptly at hello@chopda.app if you suspect unauthorised access.

4. Tally connection and your data

You may install the Ellvero Tally Connector only on a computer you are authorised to administer. The connector requires internet access and a supported, running Tally installation with the relevant company open when live information is requested.

You retain ownership of your business and accounting data. You grant us a limited right to process that data only as necessary to operate, secure, support, and improve the Service, comply with your instructions, and meet legal obligations. Our handling of personal data is described in the Privacy Policy.

Chopda is designed as a read-only integration. You remain responsible for your Tally records, licences, accounting controls, backups, statutory books, filings, and access permissions. Chopda is not a substitute for maintaining appropriate backups of your Tally company.

5. Plans, limits, and subscriptions

Available plans, prices, billing periods, and limits are shown in the Service or at checkout. Limits may include questions per month, history period, branches, mobile devices, Windows connectors, or particular features. Question allowances reset on the question period shown in your account and may differ from the subscription billing period.

A free plan may be offered with limited features. Paid access begins only after payment is confirmed or we activate an approved manual payment. Unless the checkout expressly states that automatic renewal is enabled and you separately authorise it, a payment does not create an automatic recurring mandate.

If a plan expires, is cancelled, becomes past due, or exceeds a limit, some features may be restricted. Reducing a limit may stop new devices or connectors and may require excess mobile devices to be revoked. We do not silently revoke existing Windows connectors solely because a plan limit was reduced, but new pairings may be blocked until usage is within the limit.

6. Prices, taxes, payments, and refunds

Prices are displayed in Indian rupees unless stated otherwise and may exclude GST. The checkout shows the applicable subtotal, tax, and total before payment. Online payments are processed by Cashfree Payments. Cashfree's terms and privacy practices also apply to the payment experience. We may also record approved cash, bank-transfer, UPI, cheque, or other offline payments.

You authorise us and our payment provider to process the selected charge and related transaction information. A payment is complete only when Chopda records it as successful. If money is debited but activation is not confirmed, contact us with the order reference.

Cancellation and refund terms presented at checkout or agreed in writing apply to your purchase. You may request help with an incorrect, duplicate, failed, or disputed charge by emailing hello@chopda.app. Any refund is subject to verification, payment-provider rules, and applicable law. Nothing in these Terms limits a right or remedy that cannot legally be excluded.

7. AI answers and professional judgement

Chopda uses an AI service to answer questions about Tally, accounting, GST, and business finance. AI output can be incomplete, outdated, or incorrect and may not reflect your full records or circumstances. It is provided for informational assistance, not as a replacement for your books, professional accounting, tax, audit, legal, or financial advice.

You must verify important figures against Tally and consult a qualified chartered accountant, tax professional, or other adviser before filing a return, making a payment, changing records, or taking a material business decision. Do not enter personal, confidential, or accounting information into an AI question unless it is necessary and you are authorised to share it.

8. Acceptable use

You must not:

• access or connect data, computers, branches, or accounts without permission;
• share credentials or pairing codes in a way that permits unauthorised access;
• circumvent plan limits, rate limits, security controls, or payment requirements;
• probe, scan, disrupt, overload, reverse engineer, or introduce malware into the Service, except to the extent a restriction is prohibited by law;
• use the Service for fraud, unlawful surveillance, infringement, or any illegal activity;
• resell, sublicense, copy, or commercially exploit the Service except under a written partner agreement; or
• use AI features for prohibited, abusive, or unrelated automated activity.

You are responsible for the legality, accuracy, and permissions associated with information you submit or connect.

9. Third-party services

The Service depends on third-party or separately operated services, including Tally, internet and mobile networks, hosting providers, OpenAI, Cashfree, PingDaily, and WhatsApp. Their availability and terms are outside our direct control. We are not responsible for a third-party service's independent acts, outages, changes, or content, but we remain responsible for our own obligations under applicable law.

Tally, TallyPrime, and Tally ERP 9 are marks of Tally Solutions Pvt. Ltd. Chopda and Ellvero Technologies Private Limited are not affiliated with, endorsed by, or connected to Tally Solutions Pvt. Ltd.

10. Availability and changes

We aim to provide a reliable Service, but uninterrupted or error-free operation is not guaranteed. Live data may be unavailable when the Tally computer, company, connector, internet connection, or an upstream provider is unavailable. Large exports may take time or require pagination.

We may add, change, suspend, or discontinue features and may update plan offerings for future purchases. If a change materially affects a paid period already purchased, we will take reasonable steps to provide notice and an appropriate remedy where required by law. Launch-price protection, if included in your plan, applies according to the plan information shown in your account.

11. Suspension, cancellation, and account closure

You may stop using the Service at any time and may ask us to close your account. Stopping use or deleting the app does not automatically cancel an outstanding payment obligation or remove a connector from your account.

We may restrict or suspend access when reasonably necessary to protect the Service or another person, investigate suspected misuse, comply with law, address non-payment, or enforce these Terms. We may terminate an account for a material or repeated breach after reasonable notice where circumstances permit. Provisions that by their nature should continue—including payment obligations, intellectual property, disclaimers, liability, and dispute terms—survive termination.

12. Intellectual property

Ellvero and its licensors own the Service, software, design, documentation, trademarks, and related intellectual property, excluding your data and third-party materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your authorised access period.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not publicly identify you without permission.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as available" basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will always be uninterrupted, secure, or error-free. We do not warrant that any report, synchronised record, AI output, or calculation is complete or suitable for filing, audit, credit, investment, or regulatory purposes.

These disclaimers do not exclude warranties, guarantees, or remedies that cannot be excluded under applicable law.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential losses, or for loss of profits, revenue, goodwill, opportunity, or data, arising from use of the Service. Ellvero's aggregate liability arising from the Service will not exceed the fees you paid to Ellvero for Chopda during the 12 months before the event giving rise to the claim.

This limitation does not apply to fraud, wilful misconduct, breach of confidentiality, infringement of the other party's intellectual property, or liability that cannot lawfully be limited. You remain responsible for maintaining Tally and other backups sufficient to recover from data loss.

15. Governing law and disputes

These Terms are governed by the laws of India. Before starting formal proceedings, each party will make a good-faith attempt to resolve the dispute by written notice and discussion for at least 30 days. Subject to any mandatory consumer forum or other jurisdiction that cannot be excluded, courts in Ahmedabad, Gujarat will have exclusive jurisdiction.

16. General terms

These Terms, the Privacy Policy, the plan and checkout details shown to you, and any written enterprise or partner agreement form the agreement for the Service. A specific written agreement controls if it expressly conflicts with these Terms. If a provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. You may not transfer your account or agreement without our consent; we may transfer this agreement as part of a reorganisation, financing, merger, or sale of the relevant business.

17. Changes to these Terms

We may update these Terms to reflect changes in the Service, providers, business, or law. We will post the revised Terms and update the date above. If a material change affects current users, we will provide additional notice where appropriate. Continuing to use the Service after the effective date means you accept the revised Terms; if you do not agree, you should stop using the Service and contact us about closing your account.
